Effective Date: July 1, 2026 These Terms and Conditions (the “Terms”) form a legally binding agreement between you (“you,” “your,” “User”) and ClipKing Ltd (“Company,” “we,” “us,” “our”), whose registered address is 124 City Road, London, EC1V 2NX, United Kingdom. ClipKing Ltd is the provider and operator of the ClipKing mobile application and related services. The “Service” includes the mobile application and any related features, content, and services. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE. The Privacy Policy is incorporated by reference into these Terms. 1. IMPORTANT NOTICE – SKILL-BASED COMPETITIONS ClipKing is designed as a skill-based talent video competition platform. Participation and outcomes are intended to be determined by User skill, creativity, compliance with Event Rules, and community feedback (e.g., ratings/“crowns”), rather than chance. The Service is not intended to operate as gambling, a lottery, a sweepstakes, or a game of chance. Purchasing or using ClipChips does not increase the likelihood of winning, being featured, or gaining visibility. Any ranking, visibility, or reward determination is based on the applicable Event Rules and community feedback mechanisms described in the Service. Legal classification and availability may vary by jurisdiction. We may restrict, modify, or discontinue Events, entry methods, purchases, rewards, or other features in any location where legal or regulatory requirements apply. Nothing in these Terms represents that every Event or feature is lawful or available in every jurisdiction. 2. DEFINITIONS “ClipChips” means the in-app virtual currency purchasable through Apple In-App Purchase or Google Play Billing, used to access certain features (e.g., submitting videos to events). ClipChips are not real money and have no cash value. “Content” means any videos, audio (including music), text, images, usernames, profile pictures, comments, and other materials uploaded, posted, or otherwise made available through the Service. “Event” means a time-limited competition, challenge, or program offered through the Service, which may have specific rules, eligibility criteria, fees, rewards, and time windows. 3. ELIGIBILITY; AGE; PARENTAL/GUARDIAN CONSENT 3.1 Minimum Age The Service is not directed to children under 13, or any higher minimum age required by applicable law. We do not knowingly permit a person below the applicable minimum age to create an account or use the Service. 3.2 Users Aged 13 to 15 ClipKing applies an under-16 parental consent and approval process. During email/password registration, a User identified as under 16 must provide a parent or legal guardian email address that is different from the User’s own email address. We send a consent request to that address and record the consent status. Users aged 13 to 15 must have permission from a parent or legal guardian and complete any consent steps we require. Access to certain features may be restricted where required consent has not been confirmed. 3.3 Purchases by Users Under 16 Purchases by Users under 16 require a separate parental approval step through the Service. A parent or legal guardian may refuse approval. Providing a parent or guardian email address does not itself constitute verified consent or approval. 3.4 Additional Restrictions Certain features, including Events involving monetary rewards, withdrawals, or financial transactions, may be restricted to Users who are 18 or older (or the age of majority in their jurisdiction), may require additional verification, and may not be available in all countries. 4. TERRITORIAL AVAILABILITY; INTERNATIONAL USE; LOCAL LAW COMPLIANCE The Service may be made available in selected jurisdictions and may be accessed from other locations. Availability of the Service and specific features such as Events, rewards, and purchases varies by jurisdiction and may be restricted or unavailable where prohibited by law or where we elect not to offer the Service. You are solely responsible for: (a) ensuring that your access to and use of the Service is lawful in your jurisdiction; (b) complying with all applicable local laws, regulations, and industry rules (including consumer protection, advertising/contest rules, tax reporting, and digital safety laws); and (c) obtaining and maintaining any permissions, authorizations, or consents required for your use of the Service. We may, at any time and without liability, limit, suspend, or refuse access to the Service (in whole or in part) in any jurisdiction, or to any User, if we reasonably believe such restriction is necessary to comply with law, protect the integrity of the Service, or manage risk. 5. SANCTIONS; EXPORT COMPLIANCE You may not use the Service if you are located in, or are a national or resident of, any country or region subject to comprehensive sanctions, or if you are listed on any sanctions or restricted parties list maintained by the United Nations, the European Union, the United Kingdom, the United States, or other applicable authorities. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Service. 6. ACCOUNT REGISTRATION; SECURITY; RESPONSIBILITY You must provide accurate, current, and complete information when creating an account, and you must keep it updated. You are responsible for: (a) maintaining the confidentiality of your credentials; (b) all activities occurring under your account; and (c) ensuring that your use complies with these Terms and applicable law. We may suspend or terminate accounts that we reasonably believe are fraudulent, abusive, harmful, or in violation of these Terms. 7. EVENTS; RULES; FAIR PLAY; ANTI-FRAUD 7.1 Event Rules Each Event may have additional rules (“Event Rules”) presented in-app. Event Rules form part of these Terms. If Event Rules conflict with these Terms, the Event Rules control for that Event only. 7.2 Ratings and Integrity We may implement measures to protect integrity (e.g., anti-spam, anti-bot detection, rate limits, duplicate detection, suspicious behavior review). We may remove ratings, disqualify entries, or adjust leaderboards where we reasonably believe manipulation, abuse, or violations occurred. 7.3 No Guarantee of Outcome We do not guarantee visibility, rankings, rewards, selection, or any outcome. Outcomes depend on community feedback and compliance with Event Rules. 8. USER-GENERATED CONTENT; LICENSE GRANT 8.1 Your Ownership You retain ownership of the Content you create and upload, subject to the licenses you grant under these Terms. 8.2 License to the Company By uploading, submitting, or making Content available through the Service, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, cache, reproduce, distribute, publicly display, perform, and create derivative works of your Content solely for: (a) operating, providing, and improving the Service; (b) promoting and marketing the Service (including featuring Content in app store listings, ads, social media, and promotional materials); and (c) enforcing these Terms and protecting the safety and integrity of the Service. This license continues for as long as your Content remains on the Service, and for a reasonable period thereafter for backup, caching, legal compliance, and dispute resolution. 8.3 Content Hosting Providers Your Content may be hosted or processed by third-party infrastructure providers (e.g., Cloudflare Stream) as part of normal Service operation. 9. MUSIC; COPYRIGHT; INTELLECTUAL PROPERTY INFRINGEMENT 9.1 You Must Have Rights You may upload Content only if you have all necessary rights, licenses, permissions, and consents, including for music, sound recordings, lyrics, samples, and background audio. Uploading copyrighted music without authorization is prohibited. 9.2 Takedown and Repeat Infringer Policy We reserve the right to remove or disable access to Content alleged or determined to be infringing, and to terminate repeat infringers where appropriate. We may take action based on notices, complaints, automated detection, or our own review. 9.3 Reporting Infringement If you believe Content infringes your intellectual property rights, you may contact us at support@clipkingapp.com with sufficient details to identify the allegedly infringing Content and your rights claim. 9.4 No Liability for User Uploads Users are solely responsible for their Content. We do not endorse, guarantee, or assume liability for any User Content, including any infringement contained therein. 10. PROHIBITED CONDUCT You agree not to: (a) violate any law or regulation; (b) upload Content that is unlawful, harmful, hateful, harassing, defamatory, obscene, sexually explicit (especially involving minors), or otherwise inappropriate; (c) impersonate any person or misrepresent affiliation; (d) attempt to circumvent security or access controls; (e) use bots, scripts, or automation to manipulate ratings, views, or rankings; (f) collect personal data from other Users without authorization; or (g) interfere with or disrupt the Service. We may remove Content, restrict features, or terminate accounts for violations. 11. COMPANY INTELLECTUAL PROPERTY The Service (excluding User Content), including software, design, logos, trademarks, and branding (including “ClipKing”), is owned by the Company and protected by intellectual property laws. Unauthorized use is prohibited. 12. PAYMENTS; CLIPCHIPS 12.1 In-App Purchases Only All purchases are processed via Apple In-App Purchase or Google Play Billing. We do not process or store your full payment card details. 12.2 ClipChips Nature and Restrictions ClipChips are a virtual in-app currency that: (a) are purchasable only (not earned); (b) have no cash value and are not legal tender; (c) are not redeemable for real money, except where required by law; (d) are non-transferable and cannot be traded between Users; (e) may be used only within the Service to access eligible features; and (f) may be modified, limited, or discontinued at our discretion where permitted by law. 12.3 No Refunds Except as Required ClipChips purchases are non-refundable, except where required by applicable law or by Apple/Google refund rules. Refund requests must generally be directed to the applicable app store. 12.4 Video Deletion Credit (If Offered) If the Service offers any ClipChips credit-back upon video deletion (e.g., partial credit), such credit-back is: (a) provided only in ClipChips (not cash); (b) subject to conditions in-app; and (c) may be changed or discontinued at any time where permitted by law. 13. REWARDS; PRIZES; WITHDRAWALS; TAXES 13.1 Rewards and Prize Conditions Events may offer rewards (including monetary prizes) subject to Event Rules, eligibility, compliance checks, and any legal restrictions in your jurisdiction. We may require verification (e.g., identity, age, residency, anti-fraud checks) where lawful and necessary. 13.2 USER RESPONSIBLE FOR TAXES (CRITICAL) You are solely responsible for any and all taxes, duties, levies, or reporting obligations arising from receiving rewards, prizes, or any money or money-equivalent benefit in connection with the Service, in your jurisdiction. The Company does not provide tax advice and does not assume responsibility for any User’s tax obligations. 13.3 Tax Timing Varies by Jurisdiction The tax treatment and timing of any reward, prize, virtual benefit, withdrawal, redemption, or conversion varies by jurisdiction and individual circumstances. A tax obligation may arise when a benefit is awarded, received, redeemed, converted, withdrawn, or at another time determined by applicable law. You are responsible for obtaining independent tax advice and fulfilling any reporting or payment obligations that apply to you. 13.4 No Employment Relationship Participation in Events does not create an employment, agency, partnership, or joint venture relationship between you and the Company. 14. APP STORE DISCLAIMERS (APPLE / GOOGLE) You acknowledge that these Terms are between you and the Company only, not Apple or Google. 14.1 Apple Apple is not responsible for the Service and has no obligation to provide maintenance or support. Apple is not responsible for addressing any claims relating to the Service. To the extent permitted by law, Apple has no warranty obligations with respect to the Service. 14.2 Contests and Events Apple and Google are not sponsors of any Event and are not involved in administering Events, selecting winners, or providing prizes. Any claims related to Events must be directed to the Company. 15. THIRD-PARTY SERVICES The Service may integrate third-party services (e.g., Cloudflare Stream, Firebase, analytics, push notifications). Your use of third-party services may be subject to their separate terms and policies. We are not responsible for third-party services beyond what is required by applicable law. 16. DISCLAIMER OF WARRANTIES THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. 17. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. TO THE EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO THE COMPANY IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 50. 18. INDEMNIFICATION You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your Content (including music/IP claims); (b) your use of the Service; or (c) your violation of these Terms or applicable law. 19. TERMINATION; SUSPENSION; REMOVAL We may suspend or terminate your account, remove Content, or restrict access at any time if we reasonably believe you violated these Terms, pose a risk to the Service or other Users, or as required by law. You may stop using the Service at any time. 20. CHANGES TO THESE TERMS We may update these Terms from time to time. We will provide notice where required (e.g., in-app notice or email). Continued use after changes become effective constitutes acceptance. 21. GOVERNING LAW; MANDATORY CONSUMER RIGHTS These Terms are governed by and construed in accordance with the laws of England and Wales, excluding conflict-of-law rules. If you are a consumer habitually resident in a country that provides mandatory consumer protections, you continue to benefit from any mandatory rights and protections that cannot lawfully be excluded or limited by these Terms. Subject to those mandatory rights, the courts of England and Wales have jurisdiction over disputes arising out of or relating to these Terms or the Service. Nothing in this section prevents a consumer from bringing a claim in another court where applicable law gives the consumer a non-waivable right to do so. 22. SEVERABILITY; ENTIRE AGREEMENT; ASSIGNMENT If any provision is held invalid, the remaining provisions remain in effect. These Terms and the Privacy Policy constitute the entire agreement regarding the Service. You may not assign your rights without our consent; we may assign these Terms as part of a merger, acquisition, or asset sale where permitted by law. 23. LANGUAGE These Terms are written in English. If we provide translations, they are for convenience only. In the event of any conflict, the English version controls to the extent permitted by law. 24.
